Acceptance of Terms
By accessing or using IQ Suite, you agree to be bound by these Terms of Service and all applicable laws and regulations. You must be at least 18 years of age to use this service. If you are using IQ Suite on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms.
Account Responsibilities
You are responsible for maintaining the accuracy and security of your account:
- Provide accurate and up-to-date information when creating your account.
- Keep your login credentials secure and confidential at all times.
- Notify us immediately if you suspect any unauthorised access to your account.
- You are responsible for all activity that occurs under your account, whether authorised by you or not.
Permitted Use
IQ Suite is provided for lawful business purposes related to IT procurement management. You agree to the following conditions:
- Use the platform solely for lawful business purposes, including managing IT procurement data, renewals, and deals.
- Do not attempt to reverse engineer, decompile, or disassemble any part of the service.
- Do not use automated tools, bots, or scrapers to extract data from the platform.
- Do not share your login credentials with other individuals or allow others to access your account.
Subscription & Billing
IQ Suite is offered on a subscription basis with the following terms:
- Plans are billed either monthly or annually, depending on your selection at signup.
- Upgrades to a higher-tier plan are prorated for the remainder of your current billing cycle.
- Downgrades take effect at the end of your current billing cycle.
- New accounts receive a 14-day free trial with full access to all features.
- Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
Data Ownership
Your data belongs to you. We do not claim ownership of any data, content, or information you enter into IQ Suite. By using the service, you grant us a limited licence to process your data solely for the purpose of providing and operating the platform. You may export or delete your data at any time through your account settings.
Service Availability
We strive to keep IQ Suite running smoothly and reliably:
- We target 99.9% uptime for all production services.
- Scheduled maintenance windows will be communicated in advance via email and in-app notification.
- We are not liable for downtime or service interruptions beyond the SLA credits outlined in your subscription agreement.
Intellectual Property
The IQ Suite brand, source code, design, documentation, and all related materials are the intellectual property of IQ Suite and are protected by applicable copyright and trademark laws. You may not copy, modify, distribute, or create derivative works based on any part of the service without our prior written consent. Any content you create or upload within the platform remains your intellectual property.
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you is capped at the amount of fees you have paid in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunity.
- We are not liable for failures or delays caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, or internet infrastructure failures (force majeure).
Termination
Either party may terminate the subscription relationship under the following conditions:
- Either party may terminate with 30 days written notice.
- We reserve the right to suspend or terminate your account immediately if you violate these Terms of Service.
- Upon termination, you will have a 30-day window to export your data before it is permanently deleted.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or related to these terms or your use of IQ Suite shall first be submitted to binding arbitration before either party may pursue litigation in a court of competent jurisdiction.
